NB By using the Platform, you are hereby agreeing to these Terms of Service.
1.1 Market Dojo Ltd. ("marketdojo" or "we") provides B2B online procurement software and operates a platform at www.marketdojo.com ("the Platform") which allows secure business-to-business communications between entities interested in sharing information, pricing and/or negotiating in relation thereto. An "Event" is an activity created on the platform related to any Market Dojo product. Those entities will either be "Hosts" i.e. those initiating Events on the Platform or "Participants" i.e. those responding to Events posted by Hosts. Hosts and Participants will generically be referred to as "Users".
1.2 Users can create Events on the Platform, and Users can also access the Platform and participate in an Event by submitting information or bids ("Bids").
1.3 By registering with marketdojo, a User agrees to be bound by these Terms of Service ("Terms") and a resultant agreement is formed between the User and marketdojo ("Agreement"). Any personnel that provide information to marketdojo via the Platform or otherwise on behalf of a User must have the authority to represent the relevant User and marketdojo will be entitled to rely on this presumption.
2.1 Each User is required to register by completing the online form on the Platform prior to posting or participating in an Event, keep registration details correct and up to date, and keep its personal username and password secure and confidential. Log-in details must not be shared within and/or externally to an organisation.
2.2 Hosts will be charged for a "Licence" to use the marketdojo Platform to run Events as per the pricing detailed on the Platform. The Licence will take the form of either an "Annual Licence" (a full period of 12 months) or a "Monthly Licence" (a full period of 1 month), commencing upon a Licence being assigned to a User or Organisation, and will be specific to a particular named individual or the Host's organisation as identified by its email domain.
2.3 In certain circumstances marketdojo can transfer the Licence to an alternative named User; marketdojo reserves the right to consider the circumstances and decide the appropriate outcome. Unless otherwise agreed in writing, each Licence may only be used by the associated named User.
2.4 The Host acknowledges that the use of the Platform is outside the control of marketdojo and is exclusively the Host's responsibility.
2.5 During an Event, the User will submit information or Bids on the basis of the terms of the Event set by the Host (the "Event T&C"). The Host is responsible for setting the participation/qualification criteria for each Event. By placing a Bid, the Participant represents that it meets those criteria. Each Bid constitutes a legally binding offer capable of acceptance by the Host.
2.6 The Participant will not be able to withdraw a Bid unless expressly allowed to by the Host in writing. Any attempt to do so may constitute a breach of contract and may lead to ejection from the Event and termination of the Participant's registration.
2.7 The determination of the successful Participant is exclusively determined by the Host, and there is no obligation on a Host to accept any Bids or enter into a contract with the successful Participant unless the contrary is explicitly stated in the Event T&C.
2.8 marketdojo reserves the right to change, modify, substitute or remove without notice any information or services on the Platform from time to time.
2.9-2.12 The Host undertakes to abide by marketdojo's acceptable use policy; Users acknowledge that access to the Platform may be suspended, restricted or terminated at any time due to the nature of the Internet; all times posted on the Platform are in the User's selected timezone and recorded in UTC, and there may be clock discrepancies outside marketdojo's control; and marketdojo may use anonymised information from Host activities for marketing and commercial purposes in accordance with GDPR regulations.
Support is available in the form of live chat, email and phone, from 08:45 to 17:00 GMT and CT zones, except public holidays. Resources and guides are available to download at no cost for signed-up users. Support in a given month to any named individual User must not exceed 5 hours; provision in excess is at marketdojo's discretion and may be subject to charges.
Hosts can pay either a monthly or annual fee for use of the Platform as set out on the Platform (unless agreed in writing otherwise); payment is required before use. Prices are subject to VAT. Participants are not charged for registration or participation. No refund is available for any Licence fees. Fees are payable in advance. Fees paid via PayPal are subject to a 3.5% surcharge.
Events and associated material are representations of the Host, not marketdojo. marketdojo is not an agent of the Host and acts exclusively as a facilitator, with no liability in connection with any relationship or dealings between Participant and Host. It is the responsibility of Host and Participant to negotiate and enter into any resultant Event Contracts. marketdojo makes no guarantees about the goods or services offered by Users. marketdojo undertakes to comply at all times with applicable Data Protection Legislation.
marketdojo makes no guarantee as to the creditworthiness, existence, identity or authority of any Users, and cannot guarantee that a User's password will not become available to unauthorised third parties. marketdojo shall endeavour to ensure Platform availability, excluding scheduled maintenance, does not fall below 99.9%; if not met on a quarterly average, an appropriate extension to the current Licence will be agreed at no cost.
The Host undertakes to act in a responsible and professional manner, not to use Participant data except for its business activities, to comply with Data Protection Legislation, and not to access, store, distribute or transmit viruses or material that is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing, offensive, facilitates illegal activity, depicts sexually explicit images, promotes unlawful violence, is discriminatory, or is otherwise illegal or causes damage or injury. marketdojo reserves the right to terminate its Agreement immediately via emailed notice with a Host in breach.
Participants undertake to act in good faith at all times, only submit information by which they intend to be bound, and not collude with other Users or third parties to manipulate an Event nor share pricing information. Participants registering on the Platform can be added to the marketdojo supplier database accessible by hosts for future Events; participants can opt in by emailing support@marketdojo.com.
Except as expressly stated, marketdojo shall have no liability for special damage, loss of profits, loss of anticipated savings, loss of business opportunity, loss of goodwill, or loss of or damage to data. The total liability of marketdojo shall in no circumstances exceed in aggregate £250,000. marketdojo does not exclude liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be excluded by law. Each User agrees to indemnify marketdojo against all liability arising out of its breach of these Terms, third-party claims arising from Events, actions taken against marketdojo resulting from the User's actions or omissions, and any breach of Data Protection Legislation.
marketdojo reserves the right, without liability, to terminate its Agreement with a User that has failed to pay fees within 7 days of the due date; to terminate any Event, ban any User, or modify or withdraw access without notice; to reject any registration; and to withdraw compromised usernames and passwords. A User may terminate its Agreement if marketdojo is in breach and the breach has not been remedied within 14 days of written notice, but not whilst fees remain outstanding. On termination, Licences are revoked and User information is processed according to the GDPR statement.
marketdojo and each User agree to keep all information submitted to the Platform or otherwise disclosed confidential, and not disclose it to third parties without consent, save to employees, agents or professional advisers who need to know and are bound to confidentiality. Confidential Information will be used solely in connection with the performance of obligations under the Agreement. Exceptions apply for information lawfully obtained, already possessed, in the public domain, independently developed, disclosed pursuant to judicial or governmental order, or disclosed with prior written consent.
These Terms and the Agreement are governed by, and construed in accordance with, the law of England, and the courts of England have exclusive jurisdiction to settle any dispute or claim.
marketdojo reserves the right to change these Terms at any time; changes will be posted on the Platform and come into immediate effect. No forbearance or delay by either party in enforcing its rights shall prejudice those rights. If any provision is judged illegal or unenforceable, the remainder continues in full force. Notices must be in writing and sent to the address set out for each party; they may be sent by first-class mail or email (emails confirmed within 24 hours by first-class mailed confirmation).
Users acknowledge that outputs generated by AI Technology within the Platform may not always be accurate, complete, or suitable for the User's intended use. Users are solely responsible for reviewing and validating such outputs before relying on them. Users shall use AI for the intended purpose of the Platform; any other usage is prohibited and additional fees may occur. marketdojo may perform an audit to assess the usage of AI within the Platform.
